Beaupierre Consulting

1. Agreement

By accessing beaupierreconsulting.com or engaging with me for consulting services, you agree to these Terms of Service. If you do not agree, do not use the website or services.

2. Definitions

  • "I" / "Me": Char, trading as Beaupierre Consulting
  • "Client": You, the individual or organisation engaging my services
  • "Service": Fractional AI consulting, including assessments, recommendations, and implementation support
  • "Website": beaupierreconsulting.com

3. Nature of Services

I provide independent consulting advice on AI implementation, operational efficiency, and digital transformation for SMEs.

What I Provide:

  • Initial consultation (free 60–90 minute session)
  • Paid assessment (scoped project work)
  • Strategic recommendations and implementation roadmaps
  • Follow-up support (if contracted)

What I Do Not Provide:

  • Ongoing managed services or outsourced operations
  • Software development or system implementation (unless explicitly contracted)
  • Legal, financial, or tax advice (you should consult qualified advisors for these)

4. Service Delivery & Scope

All services are delivered on a project basis with an agreed scope:

  1. Scope Definition – We agree in writing what the engagement covers
  2. Deliverables – Clearly documented outputs (reports, recommendations, roadmaps)
  3. Timeline – Agreed completion dates
  4. Communication – Via email, video call, or in-person meeting

Changes to scope may incur additional fees.

5. Fees & Payment

Pricing Model:

  • Free intro call (30 minutes, no obligation)
  • Free initial session (60–90 minutes, diagnostic)
  • Paid assessment (quoted per engagement)

Payment Terms:

  • Fees quoted upfront
  • Payment due within 14 days of invoice (unless otherwise agreed)
  • Late payment may incur interest at 8% per annum above Bank of England base rate
  • I reserve the right to suspend services if payment is 7+ days overdue

Expenses:

  • Travel expenses may be charged at cost (only if pre-agreed)
  • Virtual meetings have no travel charge

6. Confidentiality

Both parties agree to:

  • Keep all business discussions and data confidential
  • Not disclose client information to third parties (except where legally required)
  • Return or destroy confidential information on request

Exceptions:

  • Information I'm legally required to disclose (e.g., tax authorities)
  • Aggregated, anonymised data for case studies (only with written consent)
  • Information shared with service providers under NDAs

7. Intellectual Property

Ownership:

  • All recommendations, reports, and strategies I create are owned by you once fully paid
  • You may use deliverables for your internal business purposes
  • I retain the right to reference the work anonymously in case studies (with permission)

Your Input:

  • You retain ownership of all information and data you provide
  • I use your input only to deliver services

8. AI Tools in Service Delivery

I may use AI tools (e.g., Claude, ChatGPT) to assist with analysis and recommendations. You acknowledge:

  • AI-assisted insights are still subject to my professional judgement.
  • I am responsible for accuracy and relevance of all outputs
  • You should not rely solely on AI outputs for critical decisions (seek expert corroboration)
  • Data shared with AI tools may be subject to those providers' terms (I ensure appropriate safeguards)

9. Limitation of Liability

I provide services on an "as-is" basis. To the extent permitted by law:

  • I do not guarantee specific business outcomes or financial returns
  • You acknowledge consulting is advisory; implementation success depends on your actions
  • I am not liable for indirect, consequential, or special damages (lost profits, business interruption)
  • My total liability is capped at fees paid for the specific engagement

This does not exclude liability for:

  • Death or personal injury (negligence)
  • Fraud or willful misconduct
  • Data breaches or breach of confidentiality

10. Warranties & Disclaimer

I warrant that:

  • I have the right and authority to provide services
  • Services will be delivered with professional care and skill
  • I comply with applicable laws

Disclaimer: I do not warrant that:

  • Recommendations will achieve desired outcomes
  • Third-party tools or vendors will perform as expected
  • Business environments will remain stable
  • Advice will be applicable to all scenarios

11. Termination

By Client:

  • You may terminate a project with written notice
  • You remain liable for fees incurred up to termination date
  • Any partially completed work will be invoiced proportionally

By Me:

  • I may terminate if you breach confidentiality or fail to pay invoices
  • I may terminate if the engagement becomes impossible or unlawful
  • 2 weeks' written notice will be provided where possible

12. Data & Information Handling

  • I store your data securely (see Privacy Policy)
  • I do not use your data for marketing without consent
  • You are responsible for ensuring you own or have permission to share all data provided
  • I am not liable for data you provide that violates third-party rights

13. Indemnity

You agree to indemnify me against:

  • Claims arising from your use of recommendations
  • Data or information you provide that infringes third-party rights
  • Your breach of these Terms

14. Independent Contractor Status

I am an independent contractor. Our engagement does not create:

  • Employment relationship
  • Partnership or joint venture
  • Agency relationship

You are not authorised to bind me to agreements or represent me to third parties.

15. Governing Law & Jurisdiction

These Terms are governed by English law. Any disputes will be resolved through:

  1. Good faith negotiation (initial step)
  2. Mediation (if negotiation fails)
  3. English courts (final resolution, if necessary)

16. Entire Agreement

These Terms, along with any signed engagement agreement, constitute the entire agreement between us. They supersede all prior discussions or agreements.

17. Severability

If any clause is invalid or unenforceable, it will be removed, and the remaining terms will continue in force.

18. Amendments

I may amend these terms with 30 days' written notice. Continued use of services signifies acceptance.
